These Terms of Service ("Terms") govern your access to and use of stratoswitch.com (the "Site") and the communications services offered by StratoSwitch ("StratoSwitch," "we," "us," or "our"), including hosted PBX / business VoIP, SIP trunking, on-premise PBX systems, network installation, internet and SD-WAN sourcing, and disaster recovery services (collectively, the "Services"). By accessing the Site, requesting a quote, or subscribing to any Service, you agree to these Terms on behalf of yourself and, if applicable, the business you represent.
Emergency calling (911) works differently over VoIP than on a traditional landline. Please read Section 7 below carefully — it explains real limitations that can affect your ability to reach emergency services.
Our Services are offered to businesses and other organizations, not to individual consumers for personal, family, or household use. By agreeing to these Terms, you represent that you are at least 18 years old and, if you are accepting on behalf of a company or other entity, that you have the authority to bind that entity.
The specific Services you receive, including features, pricing, service levels, equipment, and contract term, are set out in the signed quote, order form, or service agreement between you and StratoSwitch (your "Service Agreement"). These Terms apply in addition to, and do not replace, your Service Agreement. If there is a direct conflict between these Terms and your Service Agreement, the Service Agreement controls for the matters it specifically addresses.
You are responsible for providing accurate account, billing, and location information; for keeping any account credentials, PINs, and admin portal access confidential; and for all activity that occurs under your account. Notify us immediately at helpdesk@stratoswitch.com or (832) 844-2900 if you suspect unauthorized use of your account or equipment.
Fees for your Services are set out in your Service Agreement. In addition to the quoted service fees, your invoice may include applicable taxes, and regulatory recovery fees or surcharges (for example, E911 fees) that we are required or permitted to collect. Late or non-payment may result in suspension or termination of Services as described in your Service Agreement.
The term, renewal, and cancellation terms for your Services — including any notice period or early termination fee — are set out in your Service Agreement. Absent a signed Service Agreement, either party may stop using or providing the Services at any time.

We may suspend or terminate Services immediately if we reasonably believe you have violated this section.
Interconnected VoIP services like ours are required under FCC rules (47 C.F.R. § 9.5) to disclose the following limitations on 911 emergency calling compared to traditional landline telephone service. This section applies to our hosted PBX, SIP trunking, and any other Service capable of placing calls to 911.
Power and internet dependent. Our Service requires electrical power and an active, working internet connection. A power outage, internet outage, network congestion, or equipment failure can prevent you from placing or receiving any call, including a call to 911, until service is restored. We strongly recommend keeping a traditional landline, mobile phone, or battery backup on hand as an alternative way to reach emergency services.
Location is based on your Registered Location, not your actual location. Unlike a traditional phone line, our system does not automatically detect where you're calling from. When you activate Service, you must give us the physical address where it will be used (your "Registered Location"). A 911 call is routed, and your address and callback number are displayed to the dispatcher, based on that Registered Location — not necessarily where you are standing when you call. If you relocate equipment, use a softphone or mobile app away from your Registered Location, or fail to update it with us, a 911 call may reach the wrong dispatch center, or your address may be displayed incorrectly or not at all.
You must keep your Registered Location current. Update your Registered Location with us immediately whenever you relocate service, add a new location, or use the Service from a different physical address, by contacting us at (832) 844-2900 or sales@stratoswitch.com.
Multi-line and multi-location accounts. If your account includes multiple phones, extensions, or physical sites, you are responsible for ensuring each device or extension is associated with an accurate Registered Location — this is especially important for remote or mobile employees using softphones.
Outages can affect 911 calls. During a network outage, failover event, or disruption to our Service or your internet connection, calls to 911 — like any other call — may not go through. We make commercially reasonable efforts to restore Service quickly, but we do not guarantee uninterrupted access to 911 or any other emergency service.
Equipment warning labels. Where required, we will provide warning labels describing these limitations for you to place on VoIP handsets and equipment. You are responsible for affixing these labels and for informing every employee, contractor, or other person who may use the Service of the limitations described in this section.
Acknowledgment. Before activating Service, we will ask you to separately confirm that you have received and understood this E911 disclosure, as FCC rules require. By using the Service, you confirm that you have read and understood this section and agree to inform all users of the Service of these limitations. If anything here is unclear, contact us before placing your first call.
We will use commercially reasonable efforts to deliver the availability described in your Service Agreement. Scheduled maintenance, carrier or third-party network issues, and events beyond our reasonable control (including internet outages at your location) may affect availability, and any service-level commitments or credits are governed exclusively by your Service Agreement.
Ownership, care, and return obligations for any hardware we provide (such as desk phones or network equipment) are set out in your Service Agreement. You are responsible for keeping provided equipment reasonably secure and in good working condition, ordinary wear and tear excepted.
The Site, our name, logo, and any software or documentation we provide remain our property or that of our licensors. You retain all rights to the data, content, and communications you transmit using the Services.
Each party agrees to use the other party's non-public business information only to perform under these Terms and any Service Agreement, and to protect it with the same degree of care it uses for its own confidential information, but no less than a reasonable degree of care.
Except as expressly stated in a signed Service Agreement, the Services and Site are provided "as is" and "as available," without warranties of any kind, express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement, to the fullest extent permitted by law.
To the maximum extent permitted by law, StratoSwitch will not be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits or lost data, arising from your use of the Services or Site. Our total aggregate liability for any claim arising out of the Services is limited to the amounts you actually paid us for the specific Service giving rise to the claim, as further described in your Service Agreement. Nothing in these Terms limits liability that cannot be limited under applicable law.
You agree to indemnify and hold StratoSwitch harmless from third-party claims, damages, and reasonable expenses arising from your misuse of the Services, your violation of these Terms, or your violation of applicable law.
In addition to any termination rights in your Service Agreement, we may suspend or terminate access to the Services immediately for material breach of these Terms, non-payment, unlawful use, or conduct that we believe in good faith poses a security or legal risk to us or others.
These Terms are governed by the laws of the State of Texas, without regard to its conflict-of-laws principles. Any dispute arising from these Terms or the Services will be subject to the exclusive jurisdiction of the state and federal courts located in Harris County, Texas.
We may update these Terms from time to time. We will post the revised Terms on this page with an updated "Last Updated" date. Continued use of the Site or Services after a change becomes effective constitutes acceptance of the revised Terms.
